Terms of Service

Welcome to OmniRouters. These Terms of Service govern your access to and use of the OmniRouters website, console, APIs, documentation, software, tools, and related services. By accessing or using OmniRouters, you agree to be bound by these terms. If you do not agree, please stop using the services immediately.
OmniRouters is operated by HONG KONG ZHIJIE INTELLIGENT TECHNOLOGY LIMITED, with its registered address at RM 5B 12/F TUNG LEE IND BLD 9 LAI YIP ST KWUN TONG HONG KONG.
1. Scope of Services
OmniRouters provides services related to AI model access, model routing, API usage, documentation, developer tooling, support channels, and related capabilities. We may update, expand, limit, suspend, or modify the services from time to time as our business evolves.
2. Accounts and Access
Some services may require an account, API key, token, or other authorization mechanism. You agree to:
- provide accurate, complete, and up-to-date information
- protect your credentials, API keys, and access tokens
- remain responsible for activities conducted through your account or credentials
- notify us promptly if you become aware of unauthorized access or any security incident
You may not rent, sell, transfer, or otherwise allow unauthorized third parties to use your account or credentials without our prior written approval.
3. Acceptable Use
You may not use OmniRouters in a way that violates applicable law, infringes third-party rights, or harms the security, integrity, or availability of the platform. Prohibited conduct includes, without limitation:
- uploading, generating, transmitting, or storing unlawful, infringing, deceptive, abusive, or harmful content
- scanning, probing, attacking, bypassing, or interfering with systems, authentication flows, rate limits, or security controls
- spamming, abusive automation, excessive calling, scraping, or any misuse that disrupts normal operations
- reverse engineering, decompiling, disassembling, copying, or attempting to derive non-public parts of the service
- using the service to support malware, fraud, phishing, abuse, illegal surveillance, or other harmful activity
We may investigate suspected violations and take enforcement actions, including restricting, suspending, or terminating access.
4. APIs, Models, and Third-Party Services
OmniRouters may provide access to third-party model providers, infrastructure providers, or partner services. You acknowledge and agree that:
- prompts, context, files, inputs, and metadata may be transmitted to the selected third-party provider as necessary to process your request
- third-party providers may apply their own service terms, privacy rules, usage restrictions, and output policies
- you are responsible for ensuring your use case, submitted content, and downstream use of outputs comply with applicable law and third-party requirements
To the maximum extent permitted by law, we do not make additional guarantees regarding the accuracy, availability, continuity, or compliance status of third-party services.
5. User Content and Intellectual Property
To the extent permitted by law, you retain rights in the content, data, and materials you lawfully submit to the service. You grant OmniRouters the limited rights necessary to host, transmit, process, store, secure, troubleshoot, and operate the service, as well as to comply with legal obligations and resolve disputes.
All intellectual property rights in the OmniRouters service itself, including software, documentation, branding, design, interfaces, and technical assets, remain owned by OmniRouters or its licensors. You may not use them beyond the scope permitted by law or by our written authorization.
6. Fees and Payment
Some OmniRouters services may be paid services. At present, the services primarily operate on a prepaid balance model. You may add funds to your account, and applicable fees will be deducted based on actual API calls, model usage, and related resource consumption. If you use paid services, you agree to pay fees in accordance with the pricing, order terms, quotation, billing terms, or service-specific notices in effect at the time of purchase. See the Billing and Refund Policy for operational details.
Unless otherwise required by law or agreed in writing, the following refund rules apply:
- fees already consumed, charges attributable to completed API calls, and any promotional, test, bonus, or gifted credits are generally non-refundable
- you may request a refund of unused prepaid balance, subject to deduction of applicable payment processor fees, bank charges, foreign exchange charges, and other necessary handling costs, if any
- if there is duplicate billing, incorrect billing, unauthorized payment, service activation failure, or inability to use the relevant service due to OmniRouters' fault, we may provide a full refund or a reasonable partial refund after verification
- we may require identity verification, payment proof, and relevant account information to process refund requests
7. Changes, Suspension, and Termination
We may change, restrict, suspend, or discontinue any part of the services for operational, security, legal, maintenance, or business reasons. We may suspend or terminate your access if:
- you violate these terms or applicable law
- your activity presents a security, fraud, or abuse risk
- you fail to pay applicable fees
- suspension or termination is required for legal, regulatory, or enforcement reasons
If your account or access is restricted, suspended, terminated, or banned due to your violation of these terms, service abuse, fraud, unlawful activity, or other causes attributable to you, any remaining unused prepaid balance will generally not be refundable unless required by applicable law.
8. Disclaimer
The services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, OmniRouters disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, availability, non-infringement, and error-free operation.
AI-generated outputs may be inaccurate, incomplete, biased, or unsuitable for your use case. You are responsible for reviewing and validating outputs before relying on them.
9. Limitation of Liability
To the fullest extent permitted by law, OmniRouters and its affiliates, officers, employees, agents, and partners will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, data, goodwill, or business interruption.
If OmniRouters is found liable for any claim arising from the services, our aggregate liability will not exceed the total amount you paid to us for the relevant services during the 12 months preceding the event giving rise to the claim. If you have not paid any fees, liability will be limited to the minimum amount permitted under applicable law.
10. Indemnification
You agree to defend, indemnify, and hold harmless OmniRouters and its affiliates from and against claims, losses, liabilities, damages, costs, and expenses arising from your misuse of the service, your violation of these terms, applicable law, or the rights of any third party.
11. Privacy
Our processing of personal information is governed by the Privacy Policy, which forms an integral part of these terms.
12. Updates to These Terms
We may update these terms from time to time due to legal, regulatory, product, or business changes. Updated versions will become effective on the date indicated in the updated notice or upon posting where permitted by law. Your continued use of the services after the effective date constitutes acceptance of the updated terms. These terms may also be interpreted together with the Acceptable Use Policy, AI Usage Notice, and other supplemental documents.
13. Governing Law and Dispute Resolution
These terms are governed by the laws of the Hong Kong Special Administrative Region. Before initiating formal proceedings, the parties agree to first attempt to resolve disputes in good faith. If no resolution is reached, disputes may be submitted to the courts of competent jurisdiction in Hong Kong.
